Terms of use
Ecordea Ltd (company number 12722702). Registered office: Office 4653, 321-323 High Road, Chadwell Heath, Essex, RM6 6AX, United Kingdom. Contact: jethro@ecordea.com, 01900 422 201, https://www.ecordea.com/.
These terms are an agreement between you and Ecordea Ltd when you use this website, enquire about or hire or purchase DarkFlight, or use Roost. Ecordea Ltd is the contracting party here. By using the site or services you agree to these terms. If you are buying for a business, you confirm you have authority to bind that business.
Website use
The marketing site at ecordea.com explains DarkFlight and Roost and lets you enquire or book. Content is for information. We try to keep it accurate but it is not a substitute for a written quote, hire agreement, or purchase order we confirm with you.
You may browse and use the site for lawful business or professional purposes. Do not attempt to disrupt the site, scrape it aggressively, misuse forms, or access systems you are not meant to use.
DarkFlight hire and purchase
Hire and purchase are agreed case by case. Current guide prices appear on ecordea.com/hire (for example hire from around £300 per night depending on kit). Those figures are commercial context only until we confirm a quote, booking, or order with you.
For hire you agree to take reasonable care of the equipment, use it as we instruct, and return it on time and in good condition (fair wear and tear aside), under the hire paperwork we send. Loss, damage beyond fair wear, or late return may be charged as set out in that paperwork.
For purchase, title and risk pass as stated in the order confirmation. Warranty cover, if any, is as we state in writing for that sale.
Nothing in these terms excludes liability that UK law does not allow us to exclude (including for death or personal injury caused by negligence, or fraud). For business customers, our liability for other claims arising from a hire or purchase is limited to the fees you paid us for that booking or order, except where the law says otherwise.
Roost licence
Roost (including roost.ecordea.com) is licensed for your internal survey review in connection with DarkFlight recordings and any other uses we expressly agree. We grant you a limited, non-exclusive, non-transferable right to use Roost for that purpose while your hire, ownership year, or subscription remains in force.
You remain responsible for ecological judgements, survey design, and anything you put in a report. Filters, composites, classifiers, or other assistance in Roost do not replace professional judgement. We do not warrant that Roost will catch every event or that any species suggestion is definitive.
Do not share login credentials, reverse engineer the service beyond what the law allows, or use Roost to process data you have no right to process.
Intellectual property
DarkFlight hardware designs, firmware, Roost software, site content, branding, and related materials belong to Ecordea Ltd or its licensors. You get only the rights these terms (and any signed order) grant. Feedback you send may be used to improve our products without obligation to you.
Acceptable use
Do not use the site or Roost for unlawful purposes, to harm others, to upload malware, or to overload our systems. We may suspend access if we reasonably believe these terms are being broken.
Accounts and security
If you have a Roost or site account, keep your login safe and tell us promptly if you think it is compromised. You are responsible for activity under your account unless it results from our failure to keep the service secure.
Fees and payment
Fees are those we quote or publish and then confirm for your order. Hire, purchase, and Roost subscription amounts may change over time; the price that applies is the one confirmed for your booking or invoice. Pay by the method and deadline on the invoice or agreement. Late payment may lead to suspension of Roost access or future hires until balances are cleared, where that is fair and lawful.
Limitation of liability
We provide the website on a practical “as available” basis. We are not liable for loss that was not reasonably foreseeable, or for lost profits, lost data, or business interruption, except where UK law does not allow that limit.
For paid services, our total liability for a claim (other than liabilities that cannot be limited) is capped at the amount you paid us for the relevant hire night(s), purchase, or Roost period giving rise to the claim.
You still need an ecologist to review survey evidence. We are not liable for ecological conclusions, planning decisions, or regulatory outcomes based on how you use DarkFlight or Roost.
Termination
You may stop using the website at any time. Hire ends when the hire period and return obligations end. Roost access ends when the included period or paid subscription ends, or sooner if we terminate for material breach. We may suspend or end access for non-payment or serious misuse. Sections that by nature should survive (including IP, liability limits, and governing law) continue after termination.
Privacy
How we handle personal data is described in our Privacy page.
QuickBooks Online (internal only)
Ecordea may use QuickBooks Online and related Intuit connections for its own accounting and internal tools (including staff assistants). Those integrations are not customer-facing services under these terms, and they are not part of DarkFlight or Roost sold to ecology customers.
Governing law
These terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, except that if you are a consumer entitled to mandatory protections elsewhere we will honour those rights.
